Terms of Service

Welcome to Monkey See, Monkey Do ("MSMD," "we," "us"). By creating an account, starting a free trial, or otherwise using our service, you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use the service.
1. What MSMD Is
MSMD is an educational research product. Every morning at approximately 8:00 AM Eastern Time on U.S. equity trading days, members receive a report (the "Morning Report") featuring up to five tickers our analysis flagged based on publicly observable institutional trade-flow activity.
The Morning Report includes the tickers, our notes on why the tickers were flagged, and a record of how previous picks performed against a published methodology.
2. Not Investment Advice. Not a Broker.
You acknowledge and agree that:
- MSMD is not a registered investment adviser, broker-dealer, or financial planner.
- We do not provide personalized investment advice based on your individual financial situation, goals, or risk tolerance.
- We do not have custody of your money or securities, do not execute trades for you, and do not have access to your brokerage account.
- Nothing in the Morning Report, on our website, or in any communication from us is a solicitation, offer, or recommendation to buy or sell any security.
- Before making any trading or investment decision, you should consult a qualified financial professional licensed in your jurisdiction.
3. Risk Disclosure
Trading stocks involves substantial risk of loss. You acknowledge that:
- Most retail traders lose money over time.
- Past performance does not guarantee future results. The hit rate, win counts, and historical examples shown in the Morning Report or on our site reflect prior periods only.
- Markets are volatile. A ticker that performed one way historically may behave entirely differently tomorrow.
- Use of margin, options, leverage, or short selling — none of which we recommend or instruct — can result in losses exceeding your initial investment.
- Our analysis and the tools it relies on may contain errors, gaps, or limitations, and may become less effective over time as markets change.
- Never trade with money you cannot afford to lose.
4. Subscription and Pricing
MSMD is offered on a subscription basis. Standard pricing is $35 per month billed monthly, or $350 per year billed annually (a discount that works out to roughly $29 per month). Membership is capped at 2,500 active subscribers; once that cap is reached, new signups join a waitlist.
We reserve the right to change pricing for new subscribers at any time. If we change pricing for existing subscribers, we will give you advance notice and an opportunity to cancel before any new rate takes effect.
5. Free Trial
New subscribers may be eligible for a 7-day free trial. During the trial:
- You may receive the Morning Report each trading day.
- You may cancel at any time during the trial without being charged.
- If you do not cancel before the trial ends, your subscription will automatically begin and your selected payment method will be charged the applicable subscription rate.
6. Billing, Renewals, and Cancellation
Billing:
- Monthly subscriptions are billed automatically each month on your renewal date.
- Annual subscriptions are billed upfront for the full year, then automatically renewed each year unless cancelled.
- Payments are processed by a third-party payment processor. You authorize us and that processor to charge the payment method on file.
Cancellation:
- You may cancel at any time from the member portal or by emailing us.
- Cancellations take effect at the end of the current billing period; you will continue to receive the Morning Report through that date.
- Monthly subscriptions are non-refundable for the current month.
- Annual subscriptions are eligible for a pro-rated refund within 30 days of the initial annual charge; after 30 days the annual subscription is non-refundable.
7. Capacity Limit
We limit total active membership to preserve the usefulness of the picks. We may close new signups, maintain a waitlist, or adjust the cap at our discretion based on market and operational considerations.
8. Your Account
You are responsible for:
- Providing accurate registration information and keeping it current.
- Keeping your login credentials confidential and not sharing them with anyone.
- All activity that occurs under your account.
- Notifying us promptly if you suspect any unauthorized access.
9. Acceptable Use
You agree not to:
- Share your account, the Morning Report, or any other paid content with non-subscribers.
- Resell, redistribute, scrape, mirror, or publicly post our content.
- Attempt to reverse-engineer, derive, or copy our underlying analysis or methodology.
- Use the service for any illegal purpose or in violation of any applicable law.
- Attempt to access systems, accounts, or data you are not authorized to access.
- Harass, abuse, or threaten our staff or other users.
10. Data and Privacy
We collect the minimum personal information needed to operate the service — primarily an email address and payment information. We never access your brokerage account, never request your portfolio, and never track your trading activity. See our Privacy Policy for the full details.
11. Intellectual Property
The Morning Report, our website, our methodology, our brand, and all related content (text, graphics, code, logos) are our property and are protected by copyright, trademark, and other intellectual property laws. We grant you a personal, non-exclusive, non-transferable, revocable license to use the service for your own non-commercial purposes during your active subscription. No other rights are granted.
12. No Guarantees
The service is provided "as is" and "as available." We do not guarantee:
- Accuracy or completeness of any analysis, commentary, or pick.
- Profitability of any ticker discussed.
- Uninterrupted, error-free, or timely delivery of the Morning Report.
- That our methodology will continue to perform consistent with past results.
Historical performance shown anywhere in our communications reflects past results only and is not a promise of future returns.
13. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for any trading losses, missed opportunities, or other financial outcomes resulting from your use of the service.
- We are not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages.
- Our total aggregate liability for any claim arising from or related to the service is limited to the amount you paid us in the 12 months immediately before the claim arose.
You use the service entirely at your own risk.
14. Indemnification
You agree to indemnify, defend, and hold harmless MSMD and its operators, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use of the service, your trading decisions, your violation of these Terms, or your violation of any law.
15. Modifications to the Service
We may add, change, suspend, or discontinue any part of the service at any time. We may change the format, schedule, or content of the Morning Report, update our methodology, or change pricing for new members (existing member rates are protected as described in Section 4). We will give reasonable notice for material changes that materially affect existing subscribers.
16. Termination
We may suspend or terminate your account immediately, without refund, if you:
- Breach these Terms.
- Share your account or our content with non-subscribers.
- Engage in fraudulent, abusive, or illegal activity.
- Fail to pay subscription fees.
Upon termination, your right to use the service ends immediately.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Idaho, United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the service shall be brought exclusively in the state or federal courts located in Idaho, and you consent to the personal jurisdiction of those courts. To the extent permitted by law, you waive any right to a jury trial.
18. Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
19. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and MSMD regarding your use of the service and supersede any prior agreements or understandings.
20. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email and by updating the "Last updated" date above. Continuing to use the service after a change takes effect means you accept the updated Terms.
